The Client
A group of independent surgeons developed and owned a nascent ambulatory surgery center (ASC). Focused on delivering efficient, high quality outpatient surgical care, the ASC demonstrated strong growth potential. Despite early challenges, the physician-owners remained committed to strengthening performance and supporting continued expansion.
The Challenge
The surgeons faced several early operational and financial hurdles as they worked to stabilize their newly formed ASC. Low reimbursement rates, inconsistent management and accounting issues contributed to fluctuating case volumes, revenue and expenses. Despite being newly formed, four major strategic buyers expressed interest in acquiring a majority stake. While a sale could resolve short-term issues related to reimbursement and management, the owners feared receiving discounted valuation offers that did not reflect the center’s trajectory and expected performance. Without clearer financial insight and stronger positioning, they risked a less favorable transaction outcome.

In addition, our team addressed operational challenges involving limited financial history, fluctuating case volumes, supply room disorganization and investor concerns regarding price and nonprice implications while effectively managing buyer questions. Through this combination of rigorous analysis and practical strategic guidance, Weaver equipped the partners to make informed decisions, negotiate confidently and move the transaction forward efficiently.
The Deliverables

As a result, the surgeons secured a significantly higher offer based on prospective performance. Post close, the ASC’s actual performance validated the projections, leaving both seller and buyer satisfied and reinforcing the long-term potential of the center.
